Terms and Conditions Agreement for Affiliates

1. General
1. The use of this web site, including free listing of the Concepts, Opportunities, Research, and/or Expertise (CORE), is subject to the Terms and Conditions stated herein.
2. These Terms and Conditions should be agreed upon and fully accepted by the Encore Global Network's Affiliates (EGNA).
3. Encore Global Network (EGN) reserves the right to make changes to this site and these Terms and Conditions at any time.
2. Free Listing of the CORE Needs and/or Requirements for Providers (P) and Seekers (S)
1. Registered COREP or CORES should be able to review brief descriptions of the available concepts, opportunities, research, and/or expertise, needs and/or requirements depicted on the Concepts, Opportunities, Research, and/or Expertise for Review Form (COREFRF) in our database (DB) and also to add, modify or delete brief description of their own CORE, without any commitments or obligations.
2. They are also able to negotiate among themselves, with or without the Encore Global Network or its Affiliate's involvement, best and potentially mutually beneficial sale, marketing, or professional assistance agreement between COREP and CORES.
3. However, the Encore Global Network (EGN) reserves the right to refuse participation in this free marketing of innovations, opportunities, expertise or any professional assistance to anyone, if any of the terms and conditions set forth and/or applicable local rules, regulations, and ethical standards could be violated by the listing.
3. CORE Providers (COREP) and CORE Seekers (CORES) Responsibilities
1. Registered COREP and CORES are responsible for ensuring that all application and CORE details, including listing type, CORE classification, CORE abbreviation, CORE area, CORE field, CORE status, anticipated assistance, and compensation for anticipated assistance, are correct.
2. Necessary updates of the application and CORE details must be made promptly using assigned ID and password, if required.
3. Registered COREP and CORES must ensure that any unauthorized third party will not make use of the assigned ID and password for addition, modification, or deletion purposes of the registration and/or CORE DB records.
4. Encore Global Network's Affiliates (AGNA) Responsibilities
1. Registered Affiliates, pre-qualified independent contractors, are able to review brief descriptions of the offered Concepts, Opportunities, Research, and/or Expertise (CORE) listed by both CORE Providers (COREP) and CORE Seekers (CORES), and to contact any party to offer help in finding a suitable match, and/or assistance in forging effective collaborations between all parties involved, and/or to be involved in project coordination, if such activities are desirable and/or required.
2. The Encore Global Network's Affiliates' (EGNA) proposed professional assistance, including finding the best match, involvement in negotiating best and potentially mutually beneficial sale, marketing, or professional assistance agreement between CORE Providers (COREP) and CORE Seekers (CORES), or project coordination assistance is to be presented and coordinated in advance with EGN Staff. Thereafter, the proposed scope and compensation to be presented by the Affiliate to CORE Provider (COREP) and/or CORE Seeker (CORES).
3. The proposed sale, marketing, or professional assistance agreement, after negotiations on a case-by-case basis and found to be agreeable to CORE Provider (COREP) and/or CORE Seeker (CORES) and involved Affiliate, shall be confirmed by EGN Staff prior to execution.
5. Disclaimer Related to Liability and Warranty
1. The factual information contained in this web site, including available concepts, opportunities, research, and/or expertise, needs and/or requirements depicted in our DBs, are provided by sources believed to be reliable and accurate. However, the Encore Global Network (EGN) makes no guarantee or warranty, expressed or implied, as to the reliability, accuracy, timeliness, or completeness of that information and is not responsible for any errors or omissions therein, whether caused by the source of the information provided by the COREP and/or the CORES.
2. All factual and other information, including listing type, CORE classification, CORE abbreviation, CORE area, CORE field, CORE kind, CORE type, CORE application, CORE status, anticipated assistance, and compensation for anticipated assistance, accessible through this web site are provided on an "As Is, As Available" basis without a warranty of any kind. CORE Providers (COREP) and/or CORE Seekers (CORES) are fully responsible for assessing the efficacy of the innovation, opportunity, or expertise, available or required. The Encore Global Network (EGN) is not responsible for any losses that may result from the use of the DB's information, including but not limited to any lost profits or direct, indirect, special, consequential, compensatory, or incidental damage. No advice or information, whether oral or written, obtained by any Affiliate, CORE Provider (COREP) and/or CORE Seeker (CORES) from Encore Global Network (EGN), or through or from this web site shall create any warranty not expressly made herein.
3. The Encore Global Network (EGN) is not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including, without limitation, damages for loss of profits, resulting from: (a) the use or the inability to use information provided in this web site by CORE Providers (COREP) and/or CORE Seekers (CORES); (b) unauthorized access to or alteration of and information or data; or (c) any other matter relating to this web site.
6. Copyright and Usage Restrictions
1. The works of authorship contained in this web site, including but not limited to those depicted in our DB's available innovations, opportunities, or expertise listing type, CORE classification, CORE abbreviation, CORE area, CORE field, CORE kind, CORE type, CORE application, CORE status, anticipated assistance, and compensation for anticipated assistance, web page design, text and images, are owned, except as otherwise expressly stated, by the Encore Global Network and/or CORE Providers (COREP) and/or CORE Seekers (CORES) and/or its licensors.
2. In accordance with these terms, except as stated above, the Affiliates, CORE Providers (COREP) and/or CORE Seekers and/or other web site users may not copy, reproduce, modify, use, republish, upload, post, transmit, display trademarks, names or logos appearing on this web site, or distribute in any way material from this web site without the Encore Global Network's expressed written permission.
7. Users and Visitor Privacy and Confidentiality Policy
1. We recognize that our Guests, Affiliates (EGNA), CORE Providers (COREP), CORE Seekers, and/or other web site users have an interest in how we collect, retain, and use information about them. At www.encoreglobalnetwork.com, we collect certain information about them through the use of "cookies", which are small pieces of information that are stored by your browser on your computer's hard drive. We collect, retain and use information about you solely for the purpose of better understanding our users and their use of our web site. We also collect information related to registration and creation of the Affiliates (EGNA), CORE Providers (COREP), and CORE Seekers accounts, including the ID and password protected privileges required to be logged into the CORE database.
2. We consider collected information, including registration and account creation data, to be private and confidential, and we hold ourselves to the highest standards of trust and fiduciary duty in their safekeeping and use. The Encore Global Network will not release information collected about any user, unless we receive prior consent or we are required by law to release any requested agency information . With permission of the Affiliates (EGNA), CORE Providers (COREP), and CORE Seekers (CORES), we may use EGNA, COREP and/or CORES name, organization description, or needs and/or requirements in designated areas of our web site as well as in other marketing materials for promotional purposes.
8. Exclusion of Continuous and Uninterrupted Access Warranties
1. Encore Global Network cannot guarantee continuous and/or uninterrupted access to our site or links. Operation of this site and our services may be disrupted by numerous factors, including ones outside of our control.
2. Encore Global Network cannot guarantee that the services provided will be timely, secure or error free, as these factors may be influenced by factors outside our control.
3. However, best efforts will be made by the Encore Global Network to ensure that interruptions and any errors are minimized.
